The rules for using the Privion Partner Portal. If your organization has signed a partner agreement with Privion, that agreement governs the partnership; these terms cover the portal itself.
1. These terms
These terms govern your use of the Privion Partner Portal at partners.priviontech.com, operated by JAMN Ventures, LLC, a California limited liability company doing business as Privion (“Privion”, “we”). By signing in to or using the portal you agree to them. If you use the portal on behalf of an organization, you agree on its behalf and confirm you are authorized to do so.
2. If you have a partner agreement, it comes first
If your organization has an executed partner agreement with Privion, that agreement governs the partner relationship — commissions, reseller pricing, registrations, support obligations and everything else it covers. These terms govern only your use of the portal itself. Where the two conflict, the partner agreement controls.
3. Accounts
You sign in with your organization’s Microsoft work account or with a link sent to your email address. You are responsible for activity under your account and for keeping access to your mailbox and Microsoft account secure. Tell us promptly at partners@priviontech.com if you believe your account has been misused.
Access belongs to your organization, not to you personally. Your organization’s administrator and Privion may each add or remove users, and access ends when you leave the organization or when its partner relationship ends.
4. Applying to become a partner
Submitting an application, or signing an agreement in the portal, does not make you a partner. An agreement takes effect only when Privion countersigns it. Until then nothing is owed by either side, and Privion may decline any application for any reason.
5. Electronic signatures and records
Agreements in the portal are signed electronically. Before you sign you will be shown a disclosure and asked to consent. Your electronic signature has the same legal effect as a handwritten one. We record the exact document you signed together with a cryptographic fingerprint of it, and you can view and download your copy from the portal at any time.
6. Deal registrations
Information you submit in a registration must be accurate, and you must have the right to share any contact details you include. A registration is a request, not an entitlement: it has effect only if and when Privion accepts it, and only for the period and on the terms in your partner agreement. Privion’s records of submission times govern any question of who registered a prospect first.
7. Quotes and pricing
Quotes built in the portal are estimates at published List Price for licensing only. They are not offers, and they do not bind Privion. Privion sets final pricing and terms. Nothing in the portal gives you authority to make commitments, grant licenses, or make representations on Privion’s behalf.
8. Confidentiality
Rate cards, enablement and marketing materials, and other non-public content in the portal are Privion’s confidential information. Use them only to market and support Privion products under your partner agreement, and do not share them outside your organization except as that agreement allows.
9. Acceptable use
Do not:
- access, or attempt to access, another organization’s data or any part of the portal you are not authorized to use;
- probe, scan or test the portal’s security without our written permission, or interfere with its operation;
- submit false registrations, or registrations for prospects you have no genuine relationship with;
- use automated means to extract data from the portal;
- upload malicious code or unlawful content; or
- share your sign-in with anyone else.
10. Privion’s materials and marks
The portal and everything in it remain Privion’s property. Logos and brand assets are provided for use under the brand guidelines published in the portal and the trademark terms of your partner agreement, and for no other purpose.
11. Availability and changes to the portal
We may modify, suspend or replace the portal at any time. We make no commitment about uptime, service levels or particular features. If the portal is unavailable we will provide another way to register opportunities.
12. Suspension
We may suspend or end your access if you breach these terms, if your organization’s partner agreement permits it or ends, or where we reasonably believe it is necessary to protect the portal or other users.
13. Disclaimers and limits
THE PORTAL IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
If your organization has a partner agreement with Privion, the liability terms of that agreement apply to your use of the portal. Otherwise, to the fullest extent the law allows, Privion is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunity, and Privion’s total liability arising from your use of the portal is limited to one hundred US dollars (US $100). Nothing in these terms limits liability that cannot be limited by law.
14. Governing law
California law governs these terms, excluding its conflict-of-laws rules. The state and federal courts in San Diego County, California have exclusive jurisdiction, and you consent to personal jurisdiction there.
15. Changes and contact
We may update these terms by posting a new version here and updating the date above. If a change is material we will tell active partners through the portal or by email. Continuing to use the portal after a change means you accept it.
